Welcome to Neurometric! These Terms of Service ("Terms") govern your access to and use of the Neurometric website, applications, APIs, and services (collectively, the "Services") provided by Neurometric Inc ("Neurometric", "we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Service Overview
Neurometric provides AI inference optimization services, including API routing, model performance analysis, and cost optimization recommendations. Our Services allow you to route your AI API calls through our platform to analyze usage patterns and optimize model selection for cost and performance.
2. Eligibility
You must be at least 13 years old to use our Services. If you are under 18, you represent that you have your parent's or guardian's permission to use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
3. Account Registration
To access certain features of our Services, you may need to create an account. You agree to:
- Provide accurate, current, and complete information during registration;
- Maintain and promptly update your account information;
- Maintain the security of your account credentials;
- Accept responsibility for all activities that occur under your account;
- Notify us immediately of any unauthorized use of your account.
4. API Keys and Access
When you create API keys through our Services:
- You are responsible for maintaining the confidentiality of your API keys;
- You must not share your API keys with unauthorized parties;
- You are responsible for all API calls made using your keys;
- We reserve the right to revoke API keys that are compromised or misused;
- You should rotate your API keys periodically as a security best practice.
5. User Content
You retain ownership of the content you submit through our Services ("User Content"). By using our Services, you grant us a limited license to process your User Content solely for the purpose of providing, improving, and analyzing our Services. We do not use your User Content to train AI models unless you explicitly opt-in to such use.
6. Acceptable Use
You agree not to use the Services to:
- Violate any applicable laws or regulations;
- Infringe upon the intellectual property rights of others;
- Transmit any malware, viruses, or other harmful code;
- Attempt to gain unauthorized access to our systems or other users' accounts;Interfere with or disrupt the integrity or performance of the Services;
- Use automated means to access the Services in a manner that exceeds reasonable use;
- Reverse engineer, decompile, or disassemble any part of the Services;
- Use the Services for any fraudulent or deceptive purposes;
- Harvest or collect information about other users without their consent;
- Resell or redistribute our Services without authorization.
7. Payment Terms
For paid features of our Services:
- You agree to pay all fees associated with your use of the Services;
- Fees are non-refundable except as required by law or as explicitly stated;
- We reserve the right to change our pricing with reasonable notice;
-You are responsible for any taxes applicable to your use of the Services.
8. Intellectual Property
The Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, and the design, selection, and arrangement thereof) are owned by Neurometric, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
9. Third Party Services
Our Services may integrate with or provide access to third-party AI providers and services. Your use of such third-party services is subject to their respective terms and policies. We are not responsible for the practices or content of third-party services.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NEUROMETRIC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO NEUROMETRIC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless Neurometric and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
13. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. Modification to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
16. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree that any arbitration shall be limited to the dispute between you and Neurometric individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
17. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Neurometric regarding the Services and supersede all prior agreements and understandings.
